PROMOTION DESCRIPTION: The CafeMom #GoodAsNew Sweepstakes (the “Sweepstakes”) begins on or about July 5, 2022 at 2 p.m. Eastern Time (“ET”) and ends on August 31, 2022 at 3 p.m. Eastern Time (“ET”) (the “Promotion Period”). After the Sweepstakes ends on August 31, 2022, a random drawing will be conducted among all qualifying entries in order to select three (3) Grand Prize winners as more fully set forth below. Entry in the Sweepstakes does not constitute entry into any other promotion, contest or sweepstakes. By participating in the Sweepstakes, each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of Wild Sky Media, 6400 Congress Avenue, Boca Raton, Florida 33487 (“Sponsor”), which shall be final and binding in all respects.

ELIGIBILITY: Only legal U.S. residents of the fifty (50) United States or the District of Columbia who are eighteen (18) years of age or older at the time of entry are eligible to enter. This Sweepstakes is void where prohibited. No party who is an employee, contractor, agent, affiliate, or otherwise has a business relationship with or access to confidential knowledge related to any Promotion Entity or Sponsor is eligible to enter the Sweepstakes. Such companies include but are not limited to the following businesses: Wild Sky Media, Bright Mountain Media, Church & Dwight Co., Inc. (the owner of the OxiClean™ brand), Wavemaker, or any other company with knowledge of or an interest in the Sweepstakes.

HOW TO ENTER: To enter, visit the website https://cafemom.com/event/good-as-new-sweepstakes (the “Website”) to find eligible social posts created by the Sweepstakes’ official influencers, and instructions for creating your own eligible social posts. To earn one (1) Sweepstakes entry, comment on and tag one (1) or more friend(s) on an eligible social post created by the Sweepstakes’ official influencers. To earn ten (10) Sweepstakes entries, upload a picture or video of your own OxiClean™ #GoodAsNew revived hand-me-down or thrifted item to your Instagram, Facebook or TikTok account (individually and collectively, the “App”) and tag @OxiCleanOfficial on Instagram or TikTok; or @OxiClean on Facebook, and include the hashtags #GoodAsNewSweepstakes and #MyOxiClean. All entries must comply with the below entry requirements and must be received by the end of the Promotion Period in order to be eligible to participate. The Website and App’s database clock will be the official timekeeper for this Sweepstakes. All required information on social posts must be completed to enter and to be eligible to win. Proof of entering information at the Website and/or App is not considered proof of delivery to or receipt by Sponsor of such entry. Sponsor may engage third-party application providers and other vendors to administer certain aspects of the Sweepstakes, including without limitation, the online collection of entry information. Such third parties will provide your personally identifiable information to Sponsor, who, except as set forth herein, will use such information in accordance with its online privacy policy, located at https://www.wildskymedia.com/privacy-policy/, and such third parties may also use your information for their own independent purposes in accordance with their own independent privacy practices. Sponsor is not responsible for the storage or any use of your entry information by such third parties. Entry must be made by the entrant, only on the eligible social media platforms. Entries made by any other individual or any entity, and/or originating at any other website or email address, including but not limited to commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Sweepstakes. Tampering with the entry process or the operation of the Sweepstakes, including but not limited to the use of any device to automate the entry process, is prohibited and any entries deemed by Sponsor, in its sole discretion, to have been submitted in this manner will be void. In the event a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. The Promotion Entities shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes. The Promotion Entities assume no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries.

ENTRY REQUIREMENTS. Your entry must comply with the following requirements: (i) the entry comment must be written in English; (ii) the entry may feature only the entrant unless entrant has submitted its entry with the knowledge and consent of any third party depicted in the entry and has obtained such third party’s consent for the Promotion Entities’ right to use the entry for any purpose, including the right to use such third party’s image, likeness, picture, portrait and/or voice as may be depicted in the entry (and will make written copies of such permissions and releases available to Sponsor upon request); if any such third party is under the age of majority in his/her place of legal residence, then such third party must be the minor child of entrant or entrant must submit its entry with the knowledge and consent of such minor’s parent/legal guardian and must have obtained the consent of such minor’s parent/legal guardian for the Promotion Entities’ right to use the entry as set forth above; (iii) other than the Promotion Entities and their respective products, brands and/or logos, the entry may not show, contain, mention, depict, refer or otherwise allude to the name, logo or product of any other retailer, manufacturer, brand, product, store, place of business, person, company or character; (iv) the entry must be entrant's own original work, created solely by entrant and not created professionally; must not have been previously published, released or distributed in any form; must not have won any award; may not contain any third party artistic work, including but not limited to, music or art; and must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity; (v) the entry may not contain, mention, refer or otherwise allude to any material, subject or otherwise that is violent, lewd, vulgar, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, racially or morally offensive or otherwise contain inappropriate content or objectionable material; (vi) the entry cannot display or promote nudity, religion, alcohol, illegal activity, drugs or tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any political agenda or message; (vii) the entry cannot in any manner defame, misrepresent, contain disparaging remarks or reflect negatively about the Promotion Entities or their respective brands, products, or other people, products or companies or their products, or in any way reflect negatively upon such parties or explicitly or implicitly communicate messages or images inconsistent with the positive images and/or goodwill with which the Promotion Entities wish to be associated, as determined by such parties in their sole discretion; (viii) the entry cannot contain any personal identification, such as personal names, email addresses or street addresses, without express permission; (ix) the entry cannot depict and cannot itself be in violation of any law; and (x) the entry must otherwise be in compliance with these Official Rules. Sponsor reserves the right, in its sole discretion, to take down and/or disqualify any entry that Sponsor believes, in its sole discretion, does not comply with or is in violation of these Official Rules or that otherwise contains prohibited or inappropriate content.

GRANT OF RIGHTS. Each entrant into the Sweepstakes (or a minor entrant's parent/legal guardian on its behalf) hereby irrevocably grants the Promotion Entities and their respective representatives, agents, subsidiaries, affiliates, licensees, successors and assigns a non-exclusive, non-transferable, royalty-free perpetual right and license to modify, photoshop, edit, pair with other material in any way, shape or form, use, publish, reuse, republish, display, distribute, disseminate or otherwise make publicly available its entry, in whole or in part, including but not limited to, the right and license to use and/or display such entrant’s image, likeness, picture, portrait, and/or voice as may be depicted in the entry, for any and all purposes, in any and all digital or media channels, Promotion Entity-affiliated websites or social media platforms (now or hereinafter known and/or developed), without limitation, worldwide and without additional compensation, notice, review or approval from entrant. Each entrant (or a minor entrant's parent/legal guardian on its behalf) further agrees to execute any and all documents deemed necessary or otherwise required by the Promotion Entities, if any, as determined by determined by such parties in their sole discretion, to effectuate such grant. Promotion Entities have the right, but no obligation, to use an entry or any portion thereof, for any purpose, as they may determine in their sole discretion.

REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION. By entering this Sweepstakes, each entrant (or a minor entrant's parent/legal guardian on its behalf) represents and warrants as follows: (i) entrant will comply with the Entry Requirements; and entrant has obtained any and all necessary permissions and releases required to submit the entry and for the right of the Promotion Entities to use the entry for any purpose; (ii) the entry is owned by entrant and has not been previously published, distributed or otherwise exploited; (iii) the entry is wholly original with entrant and, as of the date of submission, the entry is not the subject of any actual or threatened litigation or claim; (iv) the entry does not and will not violate or infringe upon the intellectual property rights or other rights of any other person or entity, including, but not limited to, rights of privacy and publicity; and (v) the entry does not and will not violate any applicable laws, and is not and will not be considered defamatory or libelous. Each entrant (or a minor entrant's parent/legal guardian on its behalf) hereby agrees to indemnify and hold the Promotion Entities and their respective corporate parent, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

WINNER SELECTION AND NOTIFICATION: On or before seven (7) business days following the Promotion Period, three (3) Grand Prize winners will be selected in a random drawing conducted by Sponsor from all eligible entries received throughout the Promotion Period. Each potential prize winner will be notified by comment tagging and/or direct message using the commenting and direct messaging services of the platform the eligible entry was entered on. Sponsor shall have no liability for any winner notification that is lost, intercepted, or not received by a potential winner for any reason, including but not limited to privacy settings. If, despite reasonable efforts, a potential prize winner does not respond within two (2) days of the first notification attempt, or if a prize or prize notification is returned as unclaimed or undeliverable to such potential prize winner, such potential prize winner will forfeit the applicable prize and an alternate prize winner may be selected. If any potential prize winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines the applicable prize for any reason prior to award, such potential prize winner will be disqualified, and an alternate winner may be selected. Sponsor may successively attempt to contact up to two (2) potential prize winners in accordance with such procedure, and if there is still no confirmed prize winner after such attempts have been made, if any, the applicable prize may go unawarded.

PRIZES/ODDS: Three (3) Prize Packages are available. Actual odds of winning depend on the number of eligible entries received during the Promotion Period. Each prize package will include one (1) gift card with a value of $500, and products from the Sponsor and/or the Sponsor’s partners valued between $1 and $90; each winner will receive one (1) Grand Prize, for a total of three (3) winners.

GENERAL PRIZE CONDITIONS: No cash alternative or substitution of prizes will be allowed, except Sponsor reserves the right in its sole discretion to substitute prizes of comparable value if any prize listed is unavailable, in whole or in part, for any reason. Prizes will be awarded only if the potential prize winner fully complies with these Official Rules. All portions of the prize(s) are non-assignable and non-transferable. Any prizes pictured in point-of-sale, online, television and print advertising, promotional packaging, and other Sweepstakes materials are for illustrative purposes only. Gift card is subject to its terms and conditions and will not be replaced if lost or stolen. All details and other restrictions of the prize(s) not specified in these Official Rules will be determined by Sponsor in its sole discretion. Each prize winner shall be solely responsible for all federal, state and/or local taxes, and the reporting consequences thereof, and for any other fees or costs associated with the applicable prize. The potential prize winner may be required to execute an Affidavit of Eligibility, a Liability Release, a Prize Acceptance and Release form, and (where imposing such condition is legal) a Publicity Release (collectively, “Prize Claim Documents”). If any potential winner (or, in the case of a minor, such minor winner’s parent or legal guardian) fails or refuses to sign and return all Prize Claim Documents within ten (10) days of prize notification, the winner may be disqualified, and an alternate winner may be selected. If Sponsor so elects, the winner may be required to submit to a confidential background check to confirm eligibility and help ensure that the use of the Grand Prize winners, will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on Sponsor, as determined by Sponsor in its sole discretion. Should the Grand Prize winners fail to pass the confidential background check, the Grand Prize will be forfeited in its entirety. Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON- INFRINGEMENT.

GENERAL LIABILITY RELEASE/FORCE MAJEURE: Acceptance of a prize constitutes permission by winner (or any minor winner’s parent or legal guardian) for the Promotion Entities to use winner’s name, social media handle, photograph, likeness, voice, biographical information, statements and address (city and state) for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter developed, in perpetuity, without further compensation, notice, review or approval. Entrants agree that the Promotion Entities have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. By participating in the Sweepstakes, entrants further agree to release and hold harmless the Promotion Entities, Meta Platforms, Inc., Facebook, Instagram, TikTok and their respective corporate parents, subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers, directors and members, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever, including without limitation, property damage, personal injury (including emotional distress), and/or death, which may occur in connection with preparation for, or participation in, the Sweepstakes, or possession, acceptance and/or use or misuse of the prize or participation in any Sweepstakes-related or prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. Sponsor assumes no responsibility for any damage to an entrant’s, or any other person’s, computer system which is occasioned by accessing the Website or otherwise participating in the Sweepstakes, or for any computer system, phone line, hardware, software or program malfunctions, or other errors, failures, delayed computer transmissions or network connections that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for incomplete, illegible, misdirected, misprinted, late, lost, damaged, stolen, or postage-due prize notifications; or for lost, interrupted, inaccessible or unavailable networks, servers, satellites, Internet service providers, websites, or other connections; or for miscommunications, failed, jumbled, scrambled, delayed, or misdirected computer, telephone or cable transmissions; or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes or the Website, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Sweepstakes if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Sweepstakes as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health or other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the winner in a random drawing from all eligible, non- suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

GOVERNING LAW/JURISDICTION: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF NEW YORK WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.

ARBITRATION PROVISION: By participating in this Sweepstakes, each entrant (and any minor entrant’s parent or legal guardian) agrees that any and all disputes the entrant may have with, or claims entrant may have against, the Promotion Entities relating to, arising out of or connected in any way with (i) the Sweepstakes, (ii) the awarding or redemption of any prize, and/or (iii) the determination of the scope or applicability of this agreement to arbitrate, will be resolved individually and exclusively by final and binding arbitration administered by the National Arbitration Forum (the “Forum”) and conducted before a sole arbitrator pursuant to the Code of Procedure established by the Forum. The arbitration shall be held at a location determined by the Forum pursuant to the Code of Procedure, or at such other location as may be mutually agreed by the participant and Sponsor. The arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable participant may have entered into in connection with the Sweepstakes. There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the participant’s and/or the Promotion Entities’ individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. The arbitrator shall not have the power to award punitive damages against the participant or Promotion Entities. For more information on the Forum and/or the Forum’s Code of Procedure, please visit their website at www.arb-forum.com. If any part of this arbitration provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.
